standard
service fees
|
Service Fees are negotiated individually. For the
service fees applicable to you, please refer to your Contract.

early
termination fees
|
In the event of early expiry of the Contract due to
switching ("Early Expiry") a "Termination Fee" is payable which
is calculated based the fees which would have accrued and been payable ("Unpaid
Amounts") for the remaining term of the Contract up to the point of time
the Contract could have been terminated by the EEA°Customer for
convenience ("Remaining Term").
The Termination Fee shall equal:
100% → of the
Unpaid Amounts with respect to any agreed set-up fees plus
100% → of the
Unpaid Amounts payable for the first 12 months of the Contract term plus
50% → of the
Unpaid Amounts for the remainder of the Remaining Term.
For the avoidance of doubt: The discounts agreed
hereinbefore already reflect any savings in cost as well as any alternative
income which G+D may be able to generate in view
of the Early Expiry and such amounts will therefore not be offset against the
Termination Fee.

effects of switching on the data, digital assets or
service architecture
|
In the event
of switching to another provider or an internal IT system, the right to use
the proprietary G+D solution (including the 3rd party proprietary G+D Qlick Sense and Databricks applications) (the "Solution")
will end upon Early Expiry of the Contract. The underlying data extraction,
transformation and interpretation logic is also proprietary and will neither
be transferred nor disclosed.
The Input
Data (see below) are not converted by the Solution and will be exported only
in the same proprietary format in which they have been received.
Prorietary file formats
of the 3rd party application Databricks can only be used in the identical
applications.

structures and data formats as well as the relevant standards and open
interoperability specifications, in which the exportable data are available
|
Input
Data The data uploaded by the EEA#x00B0;Customer to the Solution and/or
collected by the Solution from the EEA#x00B0;Customer’s systems (Input Data)
are determined not by the Solution but by the EEA#x00B0;Customer and its
systems. The content and structure of the Input Data to a large extent also
define the file structures used in the Solution, e.g. columns, XML elements. The Input Data and its documentation are the EEA#x00B0;Customer’s
responsibility and are outside of the scope of the Solution. The Solution executes a dynamic interpretation of the Input Data. This
is part of the proprietary Solution. The interpretation process is
proprietary and will not be transferred or disclosed. Compass
Cloud (Microsoft Azure platform): Microsoft Azure is used as platform service
to operate the Solution. The EEA#x00B0;Customer can export user lists as set
forth hereinbelow.
*For
the purpose of data transfer no additional information from the Microsoft
Azure platform is needed. Additional available columns can be found at https://docs.azure.cn/en-us/entra/identity/. Compass
Data Hub (data lake and integration layer): The Input Data and folder structures can be transferred as set forth hereinbelow. For the
transfer, the data will be provided online as blob container. See Information on available switching tools below. Format
*Which format is
applicable, as well as the content and structure of Input Data is the
EEA°Customer’s responsibility. Compass
Bankenote Intelligence (CBI): CBI uses the 3rd party application "Databricks" (https://www.databricks.com/) to build
so-called "wworkbooks"w. Each workbook comprises source code which the
EEA°Customer creates as well as files which the EEA°Customer
uploads (either via Compass Data Hub, as above, or directly). The Databricks workbooks including all data can be transferred as set forth hereinbelow. For the
transfer, the data will be provided online as blob container. See Information on available switching tools below. The Databricks application
is part of the proprietary Solution and will not be transferred or disclosed.
*As Databricks is a
3rd party application, G+D has no influence or documentation on
the export format which might change during time. Please check the latest
Databricks documentation in case more detailed information is needed. Compass
Sytem Intelligence (CSI): CSI is a data warehouse application based on the 3rd party
warehouse application and technology Qlik Sense (https://www.qlik.com/). The G+D Qlick Sense application allows users
to aggregate Input Data ("Statistics") and to visualize such Statistics. The Statistics can be transferred as set forth hereinbelow. For the transfer, the data will be
provided online as blob container. See Information
on available switching tools
below. The G+D Qlick Sense application is
part of the proprietary Solution and will not be transferred or disclosed.
Qlick Sense provides no option to export
the individual dashboard configurations, filters, etc. in standard file
format, so that they could be imported to a 3rd party Qlick Sense instance which is not using the identical G+D
created Qlik Sense application programming (which is proprietary to G+D and
will not be transferred or disclosed). Compass Transport (CTR): CTR is a cash logistics management software
mainly used by Cash in Transit (CIT) organizations. It it
is regular enterprise application which manages master data, locations,
stocks, verhicles, drivers, routes and more. All data is available in a regular AzureSQL or MS SQL Database (customer choice) and can be
exported by using the regular export tools of the respective database system.
Compass Cash Center
(CCC): CCC is a cash warehouse management software mainly used by large banke for their cash center operations. It it is regular enterprise application which manages master
data, cash centers, machines, stocks and more. All data is available in a regular AzureSQL
or MS SQL Database (customer choice) and can be exported by using the regular
export tools of the respective database system.

on available switching tools: For the transfer the data will be provided online as blob container
and can be accessed and downloaded via the "Microsoft Azure Storage Explorer"
(https://azure.microsoft.com/en-us/products/storage/storage-explorer) or any other tool
which is able to connect blob storage at the Azure cloud. |
